Real estate 

Real estate is one of BFSC’s outstanding and important fields of operation. We have counseled on the development of real estate projects, including industrial real estate and commercial housing projects invested by the private sector as well as residential area and resettlement area projects funded by the State. 

We have provided advice in the planning stages of an industrial real estate project, including the proposal and approval of investment policy, application for permits, and advice on site clearance, contracts of leveling, infrastructure construction, industrial real estate leasing. We have also counselled on the planning stage of a commercial real estate project, including project approval on the basis of a project acquisition transaction or business cooperation contract for project development, application for permits and performance of procedures, and counsel on contracts for construction and supply of materials, installation of equipment; counsel on deposit, sales and resolution of management-related legal issues. We have also advised on arrangement of capital for project implementation through private placement of bonds or arrangement of loans mortgaged by future assets of the project. 

Construction  

Construction is an important and prominent field throughout the operation of BFSC. We have advised many businesses operating in the field of construction. At first, our customers were mainly enterprises performing public investment construction projects, and then we have had more customers being enterprises constructing private investment projects and public-private partnership (PPP) projects. 

We have advised construction businesses in legal situations related to joint ventures, bidding, project contracts, construction contracts and subcontracts. 

We have consulted on project contracts of public investment projects, PPP projects and private investment projects. Our consulting services are also related to joint venture contracts, construction contracts, engineering, procurement, and construction (EPC) contracts, EP contracts, EC contracts, PC contracts, supply, equipment and installation contracts, insurance contracts in construction activities. 

We advised on capital arrangement for project owners and construction contractors to carry out contractual construction activities. We have also consulted on issues related to procedures for settlement, payment and adjustment of project contracts.

Real estate

Advising on a 450ha industrial park project, a 27ha industrial cluster project and a 42ha industrial cluster project funded with private capital.

Advising on the acquisition of equity from the owner of an industrial cluster project with an agreement to refinance the project by a domestic commercial bank.

Advising on a commercial housing project combined with offices for lease on an area of 4,500m2 during the project planning phase on the basis of the share acquisition of shareholders of the project enterprise.

Construction

Advising a construction contractor on the procedures for selecting project contractors, negotiating and signing public investment project contracts mainly related to transport infrastructure, irrigation, public infrastructure funded by public investment capital.

Advising a construction contractor on a joint venture contract, EPC contract, EP contract, EC contract, PC contract and construction contract, subcontracts, a supply and equipment contract of component projects during the entire execution of an investment project to build warehouse and port for loading and unloading goods.

Advising the project owner of a hydropower project during the negotiation of the design contract, the construction contract, and the equipment supply, installation and maintenance contract.
